County Sports Freelance Agreement

Llama Group - County Sports USA Freelance Photographer/Videographer Agreement This Freelance Photographer/Videographer Agreement (the "Agreement") is made and entered into as of [date] (the "Effective Date") by and between [Your Name] ("Freelance Photographer/Videographer") and Llama Group LLC (DBA County Sports USA) ("Company"). Scope of Services. Freelance Photographer/Videographer agrees to provide photography/videography services ("Services") as requested by the Company in accordance with Company's policies and procedures. Freelance Photographer/Videographer agrees to provide all Services in a professional and timely manner, and in compliance with all applicable laws and regulations. Compensation. The company agrees to pay Freelance Photographer/Videographer for the Services in accordance with the fees and payment terms set forth in the applicable order or project description. Freelance Photographer/Videographer agrees that Company shall be entitled to deduct any fees or charges owed to Company from any amounts payable to Freelance Photographer/Videographer under this Agreement. Ownership and Copyright. Freelance Photographer/Videographer agrees that all work product created or delivered by Freelance Photographer/Videographer under this Agreement, including all intellectual property rights therein, shall be the sole and exclusive property of the Company. Freelance Photographer/Videographer hereby assigns and agrees to assign to Company all rights, title, and interest in and to such work product, including all copyrights and other intellectual property rights therein. Confidentiality. Freelance Photographer/Videographer agrees to keep confidential and not to disclose to any third party any confidential information of Company, including without limitation any information related to Company's business or operations, without Company's prior written consent. Independent Contractor. Freelance Photographer/Videographer acknowledges and agrees that Freelance Photographer/Videographer is an independent contractor and not an employee, agent, or partner of the Company. Freelance Photographer/Videographer shall be solely responsible for all taxes, insurance, and other benefits and obligations applicable to Freelance Photographer/Videographer as an independent contractor. Termination. Company may terminate this Agreement at any time upon written notice to Freelance Photographer/Videographer. Upon termination, Freelance Photographer/Videographer shall promptly return all confidential information and other property of the Company in the Freelance Photographer/Videographer's possession or control. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina without regard to its conflict of laws provisions. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether written or oral. Indemnification Agreement This Indemnification Agreement (the "Agreement") is made and entered into as of [date] (the "Effective Date") by and between [Your Name] ("Freelance Agent") and Llama Group LLC (DBA County Sports USA) ("Company"). Indemnification. Freelance Agent shall indemnify and hold harmless Company and its officers, directors, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and expenses) arising out of or in connection with any act or omission of Freelance Agent, including but not limited to any negligent or willful act or omission, breach of this Agreement, or violation of any applicable laws or regulations. Notice and Defense of Claims. In the event that any claim, suit, or proceeding is brought against any of the Indemnified Parties, Freelance Agent shall promptly notify the Company in writing of such claim, suit, or proceeding. The company shall have the right to control the defense of any such claim, suit, or proceeding, including the selection of counsel, subject to the Freelance Agent's reasonable approval, which shall not be unreasonably withheld or delayed. Freelance Agent shall cooperate fully with Company in the defense of any such claim, suit, or proceeding. Limitation of Liability. Freelance Agent's liability under this Agreement shall be limited to the amount of fees paid by Company to Freelance Agent for the Services that gave rise to the claim, suit, or proceeding. Independent Contractor. Freelance Agent acknowledges and agrees that Freelance Agent is an independent contractor and not an employee, agent, or partner of Company. Non-Compete and Non-Disclosure Agreement This Non-Compete and Non-Disclosure Agreement (the "Agreement") is made and entered into as of [date] (the "Effective Date") by and between [Your Name] ("Employee") and Llama Group LLC (DBA County Sports USA) ("Company"). Confidential Information. Employee agrees to hold in strict confidence and not to disclose or use, either during or after Employee's employment with Company, any confidential or proprietary information or trade secrets of Company, including but not limited to customer lists, financial information, marketing plans, product development plans, and any other confidential or proprietary information disclosed to Employee by Company or its affiliates, subsidiaries, or agents, whether written, oral, or otherwise. Non-Compete. Employee agrees that during Employee's employment with Company and for a period of two (2) years following the termination of Employee's employment with Company, Employee shall not directly or indirectly compete with Company by engaging in or assisting with the development or operation of any business that competes with the business of Company within [geographic scope]. This restriction shall apply whether Employee is acting as an individual, an employee, a consultant, an agent, a partner, a shareholder, a director, or in any other capacity. Non-Solicitation. Employee agrees that during Employee's employment with Company and for a period of two (2) years following the termination of Employee's employment with Company, Employee shall not directly or indirectly solicit or attempt to solicit any of Company's customers, clients, suppliers, vendors, or employees for the purpose of engaging in any business that competes with the business of Company. Return of Property. Upon termination of Employee's employment with Company for any reason, Employee shall promptly return to Company all confidential or proprietary information, documents, records, and property of Company in Employee's possession or control, including but not limited to computer equipment, software, and data. Enforcement. Employee acknowledges that the restrictions set forth in this Agreement are reasonable and necessary to protect the legitimate interests of Company, and that any breach of this Agreement by Employee would cause irreparable harm to Company for which monetary damages would be inadequate. Accordingly, Employee agrees that in the event of any actual or threatened breach of this Agreement, Company shall be entitled to injunctive relief and other equitable remedies, in addition to any other remedies available at law or in equity.
