Non-Compete and Non-Disclosure Agreement
This Non-Compete and Non-Disclosure Agreement (the "Agreement") is made and entered into as of [date] (the "Effective Date") by and between [Your Name] ("Employee") and Llama Group LLC (DBA County Sports USA) ("Company").
Confidential Information. Employee agrees to hold in strict confidence and not to disclose or use, either during or after Employee's employment with Company, any confidential or proprietary information or trade secrets of Company, including but not limited to customer lists, financial information, marketing plans, product development plans, and any other confidential or proprietary information disclosed to Employee by Company or its affiliates, subsidiaries, or agents, whether written, oral, or otherwise.
Non-Compete. Employee agrees that during Employee's employment with Company and for a period of two (2) years following the termination of Employee's employment with Company, Employee shall not directly or indirectly compete with Company by engaging in or assisting with the development or operation of any business that competes with the business of Company within [geographic scope]. This restriction shall apply whether Employee is acting as an individual, an employee, a consultant, an agent, a partner, a shareholder, a director, or in any other capacity.
Non-Solicitation. Employee agrees that during Employee's employment with Company and for a period of two (2) years following the termination of Employee's employment with Company, Employee shall not directly or indirectly solicit or attempt to solicit any of Company's customers, clients, suppliers, vendors, or employees for the purpose of engaging in any business that competes with the business of Company.
Return of Property. Upon termination of Employee's employment with Company for any reason, Employee shall promptly return to Company all confidential or proprietary information, documents, records, and property of Company in Employee's possession or control, including but not limited to computer equipment, software, and data.
Enforcement. Employee acknowledges that the restrictions set forth in this Agreement are reasonable and necessary to protect the legitimate interests of Company, and that any breach of this Agreement by Employee would cause irreparable harm to Company for which monetary damages would be inadequate. Accordingly, Employee agrees that in the event of any actual or threatened breach of this Agreement, Company shall be entitled to injunctive relief and other equitable remedies, in addition to any other remedies available at law or in equity.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [state], without regard to its conflict of laws provisions.
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties.
